If you are strapped for cash and this is a make or break deal, think about taking this (No, this is not the first or only option).

If you are hell bent on taking this deal, ask them to pay for the Product on top of giving you distribution (reselling or licensing) this to other businesses in that Country. Get minimum guarantees and make it a timed deal with the option of walking out at any time. If you want to sell the Startup tomorrow this can be one of your biggest headache.

We are limiting the contract to 3 years. Considering the potential volume they bring in the next eight months, 100x our current volume, we are very tempted to have it. As you suggested, we will quote for the product premium. Thanks for your suggestion there, it is helpful.
